Terms of Service

1. Acceptance of these Terms

By accessing pratham.au or creating an account with any Pratham Technologies product — OmniHub, GeneHealth, PAI Affiliate OS, PAI eCommerce OS, REOS, or StudyMate (each a "Product") — you agree to these Terms of Service ("Terms") and our Privacy Policy. If you do not agree, do not use our Products.

2. Who can use our Products

You must be at least 18 years old, or the age of majority in your jurisdiction, to create an account directly. StudyMate is the one exception by design: a parent or guardian creates and owns the account, and any activity by a child (missions, AI tutor use, tutor bookings) happens under that parent's account and supervision — a child does not independently register.

3. Accounts and security

You are responsible for keeping your login credentials confidential and for all activity under your account. Tell us immediately at connect@pratham.au if you suspect unauthorised access.

4. Subscriptions, trials, and payment

• Paid Products bill through Stripe. By subscribing, you authorise recurring charges until you cancel.
• Free trials, where offered, convert to a paid subscription automatically unless you cancel before the trial ends — the specific trial length is shown at signup for that Product.
• Fees are quoted and charged in the currency shown at checkout and are non-refundable except where required by law or expressly stated for a specific Product.
• Marketplace/tutor/provider payouts (e.g. StudyMate's tutor marketplace, GeneHealth's provider subscriptions) are processed via Stripe Connect; the connected party is responsible for their own tax obligations on amounts received.

5. Acceptable use

You agree not to:

• Use a Product for any unlawful purpose, or to harass, abuse, or harm another person;
• Attempt to gain unauthorised access to another user's account, tenant, or data;
• Reverse-engineer, scrape at scale, or attempt to circumvent rate limits or security controls;
• Upload content you don't have the right to upload, or that infringes someone else's intellectual property;
• Use any AI feature to generate content that is illegal, harmful, or (for StudyMate specifically) unsafe for children.

We may suspend or terminate accounts that violate this section.

6. AI features

Several Products include AI-generated content, recommendations, or automated decisions (for example: OmniHub's clinic routing, PAI Affiliate's autonomous content generation, GeneHealth's risk-score interpretation, StudyMate's AI tutor). AI output can be wrong. You should not treat AI-generated content as professional advice, and for anything consequential (medical, legal, financial, real-estate), you should independently verify or consult a qualified professional. See sections 7 and 8 for Product-specific disclaimers.

7. GeneHealth — not medical advice

GeneHealth provides genomic and wellness information for educational purposes. It is not a substitute for professional medical advice, diagnosis, or treatment, and nothing in GeneHealth (including AI-generated risk scores or recommendations) should be used to make a medical decision without consulting a qualified healthcare provider. If you are a healthcare provider using GeneHealth's marketplace features, you remain solely responsible for the clinical advice you give your own patients.

8. REOS / PROS and StudyMate — not licensed professional advice

REOS-generated content (market analyses, listing copy, buyer-matching suggestions) supports, and does not replace, a licensed real estate professional's own judgment and compliance obligations. StudyMate's AI tutor and progress analytics are educational support tools, not a substitute for a qualified teacher's assessment, and any human tutor booked through StudyMate's marketplace is an independent contractor, not a Pratham employee — we vet tutors (identity, background check, and payment setup) before they can accept bookings, but we are not a party to the tutoring relationship itself.

9. Intellectual property

Pratham and our licensors own all rights in our Products, including their software, design, and branding. You retain ownership of the content you upload (for example, a business's product listings, a patient's own genomic data, or a student's own work) — using a Product does not transfer that ownership to us; you grant us only the licence needed to operate the Product for you.

10. Third-party services

Our Products integrate with third-party services you choose to connect (e.g. your own Stripe, Shopify, Google Ads, or CRM account in PAI eCommerce OS/PAI Affiliate). We are not responsible for those third parties' own acts, terms, or outages, though we will make reasonable efforts to tell you if an integration is affecting your service.

11. Termination

You may cancel a subscription or delete your account at any time (self-service for StudyMate; an automated 30-day process for GeneHealth; contact connect@pratham.au for other Products). We may suspend or terminate your access for a breach of these Terms, non-payment, or where required by law, and will give notice where reasonably possible.

12. Disclaimers and limitation of liability

Our Products are provided "as is." To the maximum extent permitted by law, Pratham disclaims all warranties, express or implied, and is not liable for indirect, incidental, or consequential damages arising from your use of a Product. Nothing in these Terms excludes any consumer guarantee that cannot lawfully be excluded under the Australian Consumer Law or an equivalent local law that applies to you.

13. Changes to these Terms

We may update these Terms from time to time. We'll update the "Last updated" date above, and for material changes we'll make a reasonable effort to notify active subscribers directly.

14. Governing law

These Terms are governed by the laws of Australia. Any dispute not resolved informally will be subject to the exclusive jurisdiction of the courts of Australia, without prejudice to any mandatory consumer-protection rights you have under the law of your own country of residence.
